  • Kabanga development is progressing toward a final investment decision, including procurement, engineering, camp upgrades and transmission-line permitting. Lifezone is finalizing fiscal and financial agreements with Tanzania, which are conditions for the final Taurus bridge-loan drawdown.

  • Lifezone ended Q3 2026 with $22 million in cash and $40.5 million of total liquidity including undrawn Taurus financing. It is also advancing its Burundi nickel project and a U.S. catalytic-converter recycling venture with Glencore, targeting the latter’s FID in Q1 2027.

Lifezone Metals (NYSE:LZM) said it is advancing financing discussions for its Kabanga nickel project in Tanzania while continuing project-readiness work, reporting $22 million of cash and cash equivalents at the end of the third quarter of 2026.

Chief Executive Officer Chris Showalter said the company has drawn a total of $41 million under its Taurus bridge financing facility, including its latest tranche. The funding is intended to support the company’s owner’s team and bridge activity between completion of the definitive feasibility study and a final investment decision, or FID.

“There is a lot of activity on the ground,” Showalter said, citing project-preparation work intended to maintain the company’s timetable toward FID and full-scale construction.

Advanced Orion Consortium Negotiations

Lifezone said it is in advanced negotiations with the Orion Critical Mineral Consortium, a group involving Orion Resource Partners, the U.S. government and UAE sovereign investment fund L’IMAD, according to Showalter. He described the consortium as a multibillion-dollar critical-minerals investment platform focused on competitiveness and national security.

Showalter said the company had largely concluded commercial negotiations and was working through final legal processes. He did not provide a closing date, but said Lifezone was seeking to complete the transaction as soon as possible.

Management said the overall project equity requirement is expected to be just above $500 million and that other investors would participate alongside Orion CMC. Lifezone expects the equity financing to be fully funded when announced, though it did not disclose the other participants or transaction terms.

Showalter said Lifezone intends to remain the project operator and controlling shareholder following the financing. Chief Financial Officer Ingo Hofmaier added that the equity investment would be made at KNL Group, the U.K. holding company, rather than at the listed parent-company level. The project debt borrower would be Tembo Nickel Limited in Tanzania.

The company is also assembling a project-finance debt package of more than $800 million, according to Showalter. Hofmaier said Lifezone has assembled a group of “pathfinders” made up of export credit agencies and development finance institutions. The company has not yet held discussions with Taurus regarding its participation in long-term project debt financing.

Kabanga Development and Tanzania Agreements

Lifezone said its owner’s team and engineering partner DRA Global have conducted workshops in Johannesburg and are progressing multiple Kabanga work streams. Showalter said the company has issued more than 600 procurement packages, while work has also included camp upgrades and preparation for construction.

The company is working to finalize a framework agreement and joint financial model with the Tanzanian government. Hofmaier said the joint financial model is among the conditions for the final Taurus bridge-loan drawdown, which is available until Nov. 29. The framework agreement is intended to define how fiscal benefits are shared between Lifezone and the government.

Showalter said negotiations with Tanzanian authorities were in a conclusive phase, after which the agreements would move through the government approval process. He said Lifezone is attempting to coordinate those steps with the equity-financing closing.

Hofmaier clarified that Nov. 29 is the deadline for the final bridge-facility drawdown rather than the repayment date. The facility has a two-year availability period from its August 2025 signing date, with an option to extend for another six months. Lifezone expects repayment of the Taurus facility to be included in the funding uses at FID if the project financing proceeds as planned.

On permitting, the company said it has received the national environmental and social impact assessment and environmental impact statement certificate for the transmission line. Lifezone is now upgrading the work to international standards as part of its financing preparations.

Showalter also said the company is engaging Tanzania’s utility, TANESCO, regarding an 88-kilometer transmission line to the mine site. He pointed to ongoing regional infrastructure development, including the extension of Tanzania’s standard-gauge railway toward Isaka, where Lifezone expects its rail siding to be located.

Financial Position and BHP Obligation

Hofmaier said Lifezone began 2026 with $20 million in cash and cash equivalents and ended the third quarter with $22 million. The company reported $7.8 million in operating cash flows for the first nine months of 2026, compared with a result that was approximately $1.3 million lower in the prior-year period.

Cash used for investing activities totaled $24 million during the first nine months, reflecting increased execution-readiness, final-engineering, design and procurement work, Hofmaier said. Financing activities totaled $34 million over the nine-month period, with no financing activities during the third quarter.

Lifezone raised $25 million in gross proceeds, or $23.3 million net, in an April capital raise. It also received $21.7 million during the first half from the Taurus bridge loan, with $18.3 million remaining undrawn as of the call. Including that undrawn amount, the company reported liquidity of $40.5 million at quarter-end.

The book value of Kabanga exploration and evaluation assets rose to $272 million from $104 million. Hofmaier said the increase also reflected non-cash items, including capitalized interest costs associated with the Taurus facility.

Lifezone said deferred consideration owed to BHP was reduced by $8 million after the company met IFC performance standards tied to BHP’s exit agreements. The remaining obligation includes a $10 million payment due 12 months after FID and an additional share-price-indexed component. The company also said BHP exited Lifezone’s shareholder register during the quarter.

Additional Projects and Nickel Market

Lifezone is also advancing its Musongati nickel project in Burundi, where it is working with government authorities on potential hydrometallurgical test work and a drilling program. Showalter said the program could further confirm laterite mineralization and assess potential deeper sulfide material. He said Lifezone is working with KoBold Metals to digitize historic geological information.

Separately, the company said it has identified a site for a U.S. catalytic-converter recycling project with Glencore and is targeting FID in the first quarter of 2027. Showalter said the proposed project would require capital spending of more than $40 million and could produce more than 200,000 ounces of combined platinum, palladium and rhodium annually. The company is discussing potential U.S. government support and said its second confirmatory pilot program is underway.

On market conditions, Hofmaier said nickel prices have faced conflicting forces. Higher sulfur costs have raised Indonesian high-pressure acid leach production costs, prompting some reported output cuts, while rising Class 1 inventories and lower Indonesian ore prices have limited price support. He said Indonesia, which he estimated holds more than 65% of nickel market share, has publicly stated a target nickel price of $19,000 to $20,000 per metric ton.
