Organic Recycling Systems Ltd has fixed 20 August 2026 as the record date for its proposed 1:2 bonus issue, the company said in an exchange filing. The record date will determine the shareholders eligible to receive the bonus shares.

Under the issue, eligible shareholders will receive one fully paid-up equity share of Rs 10 for every two existing equity shares held on the record date.

The bonus issue was recommended by the board on 6 July and subsequently approved by shareholders at an extraordinary general meeting held on 3 August. The company also received in-principle approval from BSE Ltd on 4 August under Regulation 28(1) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The deemed date of allotment has been fixed for 21 August. The company will allot up to 51,99,637 fully paid-up bonus equity shares of Rs 10 each to eligible shareholders. It will submit the required documents to the depositories for credit of the bonus shares by noon on 21 August.

The bonus shares are expected to be available for trading from 24 August 2026.

Organic Recycling Systems bonus issue: Key details

The company will issue 51,99,637 new equity shares with a face value of Rs 10 each, amounting to Rs 5.20 crore. The issue will be funded through the capitalisation of eligible reserves.

Organic Recycling Systems’ paid-up equity share capital currently stands at Rs 10.40 crore, comprising 1,03,99,275 equity shares. Following the bonus issue, the paid-up capital will rise to Rs 15.60 crore, comprising 1,55,98,912 equity shares.

What is bonus issue

A bonus issue is when a company gives additional shares to its existing shareholders for free. The shares are given in a fixed ratio. For example, in a 1:2 bonus issue, you get one additional share for every two shares you already own. It does not mean you are making an instant profit. The share price usually adjusts after the bonus issue. So, the total value of your investment generally remains the same immediately after the issue.

Organic Recycling Systems Q4 results

The bonus announcement comes after a strong fourth quarter performance by the company.

Organic Recycling Systems reported total revenue of Rs 74.50 crore in Q4 FY26, up 184.33 per cent from Rs 14.91 crore a year earlier. Operating profit, or EBIT, rose 178.37 per cent year-on-year to Rs 13.59 crore.

Profit after tax increased 45.10 per cent to Rs 12.98 crore during the quarter, while diluted normalised earnings per share stood at Rs 12.48, compared with Rs 7.47 in the year-ago period. The operating margin was 18.24 per cent.
