Mold-Tek Packaging Limited Proposes Bonus Issue of Equity Shares in the ratio of 1:1

As Mold-Tek Packaging Limited looks ahead to completing four decades of its growth journey, the Board of Directors have recommended a Bonus Issue of Equity Shares in the ratio of 1:1 i.e. One equity share for each existing fully paid-up equity share held by the eligible shareholders as on the record date, which will be announced subsequent to receipt of shareholders’ approval.

The proposed Bonus Issue represents more than a capitalisation of reserves, it is a reflection of the Company’s journey, its financial resilience and its confidence in the opportunities ahead. The proposed Bonus Issue marks an important milestone in the Company’s journey and is intended as a gesture of appreciation for the continued trust, confidence and support extended by its shareholders over the years. It is also aimed at broadening retail investor participation, enhancing the liquidity of the Company’s equity shares and making them more accessible and affordable to a wider investor base.

The existing authorised equity share capital of the Company stands at ₹20,00,00,000/- while the existing paidup equity share capital is ₹ 16,61,44,570/-. Pursuant to the proposed issuance of bonus equity shares in the ratio of 1:1, the paid-up equity share capital of the Company will increase to ₹ 33,22,89,140/- divided into 6,64,57,828 equity shares of face value of ₹ 5/- each.

The Reserves & Surplus (in India) of the Company stood at ₹ 655 crores as at March 31, 2026.

Further it is clarified that the proposal of issue of bonus shares shall not impact the solvency margin and any other financial parameters of the Company.

An important part of this journey is ensuring that the Company has a strong and well-prepared leadership team for the future. We believe in a gradual and structured transition that combines the experience of the existing leadership with the energy, capabilities and perspectives of the next generation. With this objective, the Board has proposed the appointment of my son, Mr. Janumahanti Rana Pratap, as Director – Marketing and Strategy, an alumnus of IIT Delhi and IIM Lucknow. He has been associated with the Company for the past 14 years and has played an important role in strengthening our marketing initiatives and building the Company’s pharmaceutical packaging business.

Shares of Mold-Tek Packaging Limited was last trading in BSE at Rs. 705.90 as compared to the previous close of Rs. 716.20. The total number of shares traded during the day was 2145 in over 165 trades.

The stock hit an intraday high of Rs. 723.15 and intraday low of 703.40. The net turnover during the day was Rs. 1522822.00.
